The board of directors is the highest responsible organization for the company's strategy, operation management and customer satisfaction. It undertakes the mission of leading the company forward, exercises the decision-making power of the company's strategy and operation management, and ensures that the interests of customers and shareholders are maintained.
The main responsibilities of the Board of Directors are:
· Formulate corporate governance plans;
· Review the company's registered capital increase or decrease plan, profit distribution plan and loss recovery plan;
· Review the company's equity incentive plan and non-equity long-term incentive plan;
· Review or approve the company's entry or exit from the industrial field, and approve the company's strategic plan;
· Approve major organizational changes and adjustments, management mechanism construction and business changes;
· Approve major financial policies, financial planning and business transactions;
· Approve the company's annual budget plan, annual business report and annual audit report;
· Approve the appointment and removal, remuneration and long-term incentives of the company's senior management;
· Approve major HR policies and plans at the company level;
· Approve management plans for major risks and major crises related to the company, and manage major emergencies;
· Approved the construction of internal control and compliance system.
On March 29, 2022, some directors resigned as directors of the company. Alternate directors Li Jianguo and Bloomberg are successively appointed as directors according to the rules.

In 2021, the board of directors held a total of 11 on-site meetings to deliberate and make decisions on the company's medium and long-term strategic planning, annual business plan, audit report, profit distribution, capital increase and other matters.
The board of directors has a standing committee, which is the permanent executive body of the board of directors. It is entrusted by the board of directors to conduct research and deliberation on major issues, make decisions and supervise the implementation of issues authorized by the board of directors. In 2021, the Standing Committee of the Board of Directors will hold a total of 19 meetings.
The members of the Standing Committee of the Board of Directors include: Xu Zhijun, Hu Houkun, Meng Wanzhou, Wang Tao and Yu Chengdong.
The company's board of directors and the standing committee of the board of directors are chaired by the rotating chairman, who is the top leader of the company during the period of duty. The rotation period of the rotating chairman is six months.
